Model and Media Release Terms and Conditions

1. Permission

I hereby grant Shift (“Company”) and its legal representatives the irrevocable and unrestricted right to use and publish photographs, video recordings, and audio recordings of me, or in which I may be included, for editorial, trade, advertising, educational, and any other purpose and in any manner and medium. This includes, but is not limited to, the Company’s website, social media platforms, print materials, television, commercials, and audio broadcasts. I further grant the Company the right to edit, modify, and create derivative works from the content, and to hold the exclusive rights to the content, including any copyrights.

2. Use and Disclosure

I agree that the Company may use such photographs, videos, and audio recordings of me with or without my name and for any lawful purpose, including, but not limited to, publicity, illustration, advertising, and web content.

3. Release and Waiver

I hereby release and discharge the Company and its legal representatives from any and all claims and demands that may arise out of or in connection with the use of the photographs, videos, and audio recordings, including, without limitation, any and all claims for libel or violation of any right of publicity or privacy.

4. Ownership

I acknowledge and agree that I have no ownership rights in the photographs, videos, or audio recordings, and that all copyright and ownership belongs to the Company. I understand that I will receive no compensation for the use of the photographs, videos, or audio recordings.

5. Right to Edit

The Company retains the right to edit, alter, modify, or otherwise use the photographs, videos, and audio recordings in any manner it deems appropriate. I waive any right to inspect or approve the final product, including any written or spoken copy that may be created in connection therewith

6. No Third-Party Sharing

The Company agrees that the content will not be shared with or licensed to any third parties outside of the Company’s direct marketing efforts without my express written consent.

7. Indemnity

I agree to indemnify, defend, and hold harmless the Company, its affiliates, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, and expenses (including reasonable attorney's fees) arising out of or related to any breach of this Release by me or any claim by a third party related to the use of the content as permitted under this Release.

8. Governing Law

This Release shall be governed by and construed in accordance with the laws of the State of Texas.
